1. Service Description

NinoIQ is a household financial intelligence platform that aggregates data from your linked financial accounts to provide:

• A consolidated household balance sheet showing assets, liabilities, and net worth
• Spending analysis and transaction categorization
• Investment holdings tracking and portfolio overview
• Financial briefings summarizing your household’s financial position
• Configurable financial assumptions for planning and projections

NinoIQ is an informational tool. We do not provide financial advice, investment recommendations, tax guidance, or any form of professional financial services. The data and visualizations presented in NinoIQ are for informational purposes only and should not be relied upon as the sole basis for financial decisions.

2. Eligibility

You must be at least 18 years old to use the Service. By using NinoIQ, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Account Creation and Security

To use NinoIQ, you must create an account using a valid email address. You are responsible for:

• Providing accurate and current information during registration
• Maintaining the security of your account and email address
• All activity that occurs under your account, whether or not authorized by you
• Promptly notifying us of any unauthorized access to your account

We use magic link email authentication. You must maintain access to the email address associated with your account. If you lose access to your email, you may lose access to your NinoIQ account.

4. Household Membership

NinoIQ organizes financial data by household. When you create or join a household:

• All members of a household can view the financial accounts and data linked by any household member
• You should only invite individuals you trust to view your financial information
• You are responsible for the accuracy of household membership — only invite individuals who are part of your actual household

5. Plaid Integration and Third-Party Services

NinoIQ uses Plaid to connect to your financial accounts. By using the account linking feature:

• You authorize Plaid to access your financial account information on your behalf, subject to the Plaid End User Privacy Policy
• You acknowledge that the availability and accuracy of financial data depends on your financial institutions and Plaid, and may be subject to delays, errors, or interruptions beyond our control
• You can revoke Plaid’s access to your accounts at any time by disconnecting the account within NinoIQ or through Plaid’s portal at my.plaid.com

We are not responsible for the accuracy, completeness, or timeliness of data provided by Plaid or your financial institutions. Balance and transaction data may be delayed or differ from what your financial institution reports directly to you.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Link financial accounts that you do not own or are not authorized to access
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems
• Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Service
• Use automated means (bots, scrapers, or similar tools) to access the Service without our written permission
• Interfere with or disrupt the integrity or performance of the Service
• Resell, sublicense, or commercially exploit any part of the Service

7. Intellectual Property

The Service, including its design, interface, code, algorithms, documentation, and all associated intellectual property, is owned by NinoIQ and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial household financial management purposes, subject to these Terms.

Your financial data remains your property. By using the Service, you grant us a limited license to store, process, and display your financial data solely for the purpose of providing the Service to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY FINANCIAL DATA DISPLAYED THROUGH THE SERVICE
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS

NinoIQ is not a financial advisor, broker, or fiduciary. Nothing in the Service constitutes financial, investment, tax, or legal advice. You should consult qualified professionals before making financial decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NINOIQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, DATA, OR GOODWILL
• FINANCIAL LOSSES RESULTING FROM DECISIONS MADE BASED ON INFORMATION DISPLAYED IN THE SERVICE
• ERRORS, INACCURACIES, OR OMISSIONS IN FINANCIAL DATA PROVIDED BY THIRD-PARTY SERVICES
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA, REGARDLESS OF THE CAUSE

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless NinoIQ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or in any way connected with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of any third party, including your financial institutions

11. Termination

You may terminate your account at any time by disconnecting all linked accounts and requesting account deletion by emailing info@ninoiq.com.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, suspected fraudulent activity, or extended periods of inactivity.

Upon termination, your right to use the Service will immediately cease. We will delete your data in accordance with our Privacy Policy. Sections 7 through 10 and 13 of these Terms shall survive termination.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws provisions.

Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Florida. You consent to the personal jurisdiction of such courts and waive any objections based on venue or inconvenient forum.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the updated Terms.

If you do not agree with the revised Terms, you must stop using the Service and request account deletion.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NinoIQ regarding the use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
